Dealer Fee Agreement

This agreement applies to dealer organisations that register on UpBid. Sellers pay nothing; UpBid's only charge is the facilitation fee described here. It supplements the Terms of Service and is accepted during dealer registration.

1. The facilitation fee

UpBid charges a fixed facilitation fee for each completed transaction — not a percentage of the vehicle price. The current amount is shown to you in-app at registration and on every invoice. The fee is GST-exclusive; GST is added and shown separately where applicable.

2. When a fee arises

A fee is issued only when a deal is confirmed completed by both parties. No fee arises on listings that expire, deals that are cancelled, or disputes not resolved as completed. A completed deal is billed once.

3. Payment

Fees are paid through a one-time payment link and are due by the date shown on the invoice — the issue date plus the platform's fee-due period (14 days by default). Card and bank details are handled by our payment provider; UpBid does not store them.

4. Overdue fees

A fee unpaid after its due date automatically suspends your organisation's bidding until it is paid. Payment lifts the suspension automatically. UpBid may void a fee, extend a due date, or lift a suspension at its discretion.

5. Changes

UpBid may change the fee amount, GST treatment or due period. Changes apply to fees issued after they take effect; amounts and due dates already stamped on issued invoices are not altered.
